MemorEase Terms and Conditions

1. Service Overview
MemorEase ("we," "us," or "our") provides a digital platform offering downloadable and streamable digital products, including but not limited to photos, videos, and multimedia content ("Digital Products"). Users may upload, store, share, and purchase Digital Products through our services.

MemorEase does not claim ownership over any user-submitted content.

Our services are provided "as-is," and we reserve the right to modify, suspend, or discontinue any feature at any time without prior notice.

2. User Content Rights & Licenses
2.1 Ownership
You retain full copyright and intellectual property rights to any content you submit, upload, or create on MemorEase ("User Content").

2.2 License to MemorEase
By submitting User Content, you grant MemorEase a non-exclusive, royalty-free, transferable, sublicensable, worldwide license to:

Host, store, and display your content on our platform.

Reproduce, modify, and distribute your content solely for operational purposes (e.g., compression, formatting, or delivery).

Use anonymized or aggregated data for analytics, machine learning, and platform improvements.

This license persists unless you delete your content or terminate your account.

3. Permitted Use of Digital Products
Users who purchase or legally obtain Digital Products from MemorEase may:

Share content on social media, personal websites, or other platforms with proper attribution (if required).

Redistribute purchased content for non-commercial purposes (unless otherwise restricted).

Modify or create derivative works, provided such use complies with applicable laws and does not infringe third-party rights.

Exception: Some Digital Products may have additional licensing restrictions, which will be clearly stated at purchase.

4. Prohibited Actions
You agree not to use MemorEase to:

Upload, share, or sell content that infringes copyrights, trademarks, or intellectual property rights of others.

Distribute illegal, defamatory, obscene, or harmful material (e.g., malware, hate speech, or explicit content without proper labeling).

Reverse-engineer, scrape, or overload MemorEase’s infrastructure (e.g., automated bots, DDoS attacks, or unauthorized API use).

Impersonate others or engage in fraudulent transactions.

Violations may result in content removal, account suspension, or legal action.

5. No Refund Policy
All purchases of Digital Products are final and non-refundable, except where required by law.

100% satisfaction guarantee is met through service remedies (revisions, re-processing) rather than monetary refunds for digital products.

If technical issues prevent access, contact support for resolution (e.g., reissuing download links).

6. Limitation of Liability
MemorEase shall not be liable for:

Loss, corruption, or unauthorized access to User Content due to technical failures, third-party breaches, or user error.

Misuse of shared content by other users or third parties.

Service interruptions, outages, or delays beyond our reasonable control.

Indirect damages (e.g., lost profits, data loss, or reputational harm).

Our total liability is limited to the amount paid by you in the last 12 months for services.

7. Changes to Terms
We may update these Terms periodically. Material changes will be communicated via email or platform notifications.

Continued use after updates constitutes acceptance. If you disagree, you must cease using MemorEase.

8. Governing Law & Dispute Resolution
This agreement is governed by the laws of the Province of Ontario, without regard to conflict of laws principles that would require the application of the laws of another jurisdiction. [Subject to the dispute resolution provisions of this agreement,] the parties irrevocably submit to the [non-exclusive/exclusive] jurisdiction of the courts of the Province of Ontario.

Disputes will first be resolved through negotiation; if unresolved, they shall proceed to binding arbitration (except for injunctive relief).
